These Terms of Use ("Terms") govern your access to and use of the Video Front platform ("Service"), operated by Video Front Inc., a Delaware corporation ("Video Front," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Video Front is a B2B sales outreach platform that allows users ("Customers") to create AI-generated avatar demonstrations using their own facial images, voice recordings, company materials (photos, videos, documents), and prospect lists. The Service generates custom demo links that Customers can share with their prospects. The Service is available in both free and paid tiers.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

3.3 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. User Content and Biometric Data

4.1 User Content Ownership

You retain all ownership rights to the content you upload to the Service, including but not limited to facial images, voice recordings, photos, videos, documents, and prospect lists (collectively, "User Content"). The avatars created using your facial images and voice recordings remain your property.

4.2 License Grant to Video Front

By uploading User Content, you grant Video Front a limited, non-exclusive, royalty-free, worldwide license to use, reproduce, process, and display your User Content solely for the purpose of: (a) creating and training AI-generated avatars based on your facial images and voice; (b) providing and improving the Service; and (c) generating custom demo links as directed by you.

4.3 Biometric Data Consent

You expressly consent to Video Front's collection, use, storage, and processing of your facial images and voice recordings ("Biometric Data") for the purpose of creating AI-generated avatars. You acknowledge that: (a) Video Front may retain trained model data derived from your Biometric Data even after you delete your avatars; (b) Video Front uses third-party AI service providers to process Biometric Data; and (c) you have the right to request deletion of your Biometric Data subject to our data retention policies.

4.4 Data Security and Access

Video Front implements reasonable security measures to protect User Content. Only you and authorized managers within your company workspace can access and control your avatars, company materials, and prospect lists. User Content uploaded by one customer is not visible to or accessible by other customers.

4.5 Analytics Data

Video Front collects analytics data regarding how prospects interact with demo links you share. This data is used to provide you with insights and improve the Service.

4.6 Data Deletion

You may delete your avatars and User Content at any time through your account settings. However, Video Front may retain certain trained model data and aggregated analytics data for operational and legal purposes.

5. Acceptable Use and Prohibited Activities

5.1 Permitted Use

You may use the Service solely for lawful business purposes consistent with these Terms.

5.2 Prohibited Activities

You agree not to use the Service to:

• Create avatars using another person's facial image or voice without their express written consent;
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
• Engage in any form of spam, unsolicited communications, or harassment;
• Upload or transmit any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable;
• Upload or transmit any content that infringes any intellectual property or proprietary rights;
• Create or distribute deepfakes or misleading content intended to deceive;
• Use the Service to facilitate fraud, identity theft, or any illegal activity;
• Attempt to gain unauthorized access to the Service, other user accounts, or computer systems;
• Introduce viruses, malware, or any malicious code;
• Reverse engineer, decompile, or disassemble any portion of the Service;
• Use automated systems (bots, scrapers) to access the Service without authorization;
• Violate any applicable local, state, national, or international law or regulation.

5.3 Customer Responsibility

You are solely responsible for how you use demo links generated by the Service and how your prospects interact with them. Video Front is not responsible for any misuse of demo links by you or third parties.

6. Intellectual Property Rights

6.1 Video Front IP

The Service, including its software, features, functionality, design, and all intellectual property rights therein, are owned by Video Front or its licensors. These Terms do not grant you any ownership rights to the Service.

6.2 Avatar Ownership

You own the avatars created from your facial images and voice recordings. Video Front does not claim ownership of your avatars.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Video Front a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without compensation to you.

7. Third-Party Services and Providers

Video Front uses third-party AI service providers to process and generate avatars. While we work with reputable providers, we cannot guarantee the performance, security, or reliability of third-party services. Your use of the Service constitutes acceptance of the inherent risks associated with third-party processing of your User Content.

8. Payment Terms and Subscription

8.1 Fees

Certain features of the Service require payment of fees. All fees are non-refundable except as required by law or expressly stated in these Terms.

8.2 Billing

For paid subscriptions, you agree to pay all applicable fees according to the pricing and billing terms presented to you at the time of purchase. Fees are billed in advance on a recurring basis.

8.3 Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

8.4 Price Changes

Video Front reserves the right to modify pricing at any time. We will provide you with reasonable notice of any price changes, and such changes will take effect at the start of your next billing cycle.

9. Term and Termination

9.1 Term

These Terms remain in effect until terminated by either you or Video Front.

9.2 Termination by You

You may terminate your account at any time by deleting your account through the Service settings or by contacting us.

9.3 Termination by Video Front

We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms or engage in conduct that we deem harmful to the Service, other users, or Video Front. We may also terminate your account for any reason upon 30 days' written notice.

9.4 Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. We may delete your User Content and account data, except as required by law or our data retention policies. Sections that by their nature should survive termination will continue to apply.

10. Disclaimers and Warranties

10.1 AS-IS Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 No Guarantee of Availability

VIDEO FRONT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, OR QUALITY OF ANY AVATARS OR CONTENT GENERATED BY THE SERVICE.

10.3 Third-Party Services

VIDEO FRONT MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THIRD-PARTY AI PROVIDERS OR THEIR SERVICES. YOU USE THIRD-PARTY SERVICES AT YOUR OWN RISK.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDEO FRONT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11.2 Cap on Liability

VIDEO FRONT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) $100; OR (B) THE AMOUNT YOU PAID TO VIDEO FRONT IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11.3 No Liability for Third-Party Actions

VIDEO FRONT IS NOT RESPONSIBLE FOR: (A) HOW YOU OR YOUR PROSPECTS USE DEMO LINKS GENERATED BY THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR MISUSE OF YOUR USER CONTENT; (C) ANY ACTIONS TAKEN BY THIRD-PARTY AI PROVIDERS; OR (D) ANY CONTENT, CONDUCT, OR DATA OF OTHER USERS.

11.4 Basis of the Bargain

YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THESE TERMS REFLECT A REASONABLE ALLOCATION OF RISK AND ARE FUNDAMENTAL ELEMENTS OF THE AGREEMENT BETWEEN YOU AND VIDEO FRONT. THE SERVICE WOULD NOT BE PROVIDED WITHOUT THESE LIMITATIONS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Video Front, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another party; or (e) your violation of any applicable laws or regulations.

13. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

14. Export Controls and Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, or a national or resident of, any country subject to U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing a claim, you agree to contact us at support@videofront.com and attempt to resolve the dispute informally.

15.2 Binding Arbitration

If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

15.3 Class Action Waiver

YOU AND VIDEO FRONT AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

17. Modifications to Terms

Video Front reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service or by sending you an email. Your continued use of the Service after such notice constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Video Front regarding the Service and supersede all prior agreements.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

18.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. Video Front may assign these Terms without restriction.

18.5 Force Majeure

Video Front shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

18.6 Notices
